These Terms and Conditions constitute a legally binding agreement between you and The Grey Network LLC (“Company,” “we,” “us,” or “our”) concerning your access to and use of the Grey platform at app.thegrey.ai.

You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES.

We reserve the right to make changes to these Legal Terms at any time and for any reason. We will alert you about any changes by updating the “Last updated” date. Your continued use of the Services after the date of the revised Legal Terms constitutes your acceptance of the changes.

Grey is an AI-powered operations platform for independent retailers and professional services firms. The platform includes order management, delivery scheduling, route optimization, driver management, vendor logistics, and AI-powered operational briefings.

The Services and their entire contents, features, and functionality are owned by The Grey Network LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

By using the Services, you represent and warrant that:

• You have the legal capacity to agree to these Terms
• You are not a minor in the jurisdiction in which you reside
• You will not access the Services through automated or non-human means
• You will not use the Services for any illegal or unauthorized purpose
• Your use of the Services will not violate any applicable law or regulation

You may not access or use the Services for any purpose other than that for which we make the Services available. You may not:

• Systematically retrieve data to create a collection or database
• Trick, defraud, or mislead us or other users
• Circumvent, disable, or interfere with security features
• Use the Services to advertise or offer to sell goods and services
• Use any information obtained from the Services to harass or harm others
• Attempt to bypass measures designed to prevent or restrict access
• Copy or adapt the Services' software
• Use the Services in a manner inconsistent with applicable laws

We reserve the right to monitor the Services for violations, take appropriate legal action, and manage the Services to protect our rights and property.

These Legal Terms shall remain in full force while you use the Services. We reserve the right to deny access to the Services at our sole discretion without notice or liability. If your account is terminated, you are prohibited from registering a new account.

We reserve the right to change, modify, or remove the contents of the Services at any time without notice. We will not be liable for any modification, suspension, or discontinuance of the Services.

These Terms are governed by the laws of the State of California. Any disputes shall be resolved in the courts located in California.

To expedite resolution of any dispute, you agree to first attempt to negotiate informally for at least 30 days before initiating arbitration.

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE GREY NETWORK LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOSS OF DATA, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR MAXIMUM LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER SHALL BE LIMITED TO THE AMOUNT PAID BY YOU TO US DURING THE 1 MONTH PERIOD PRIOR TO THE CAUSE OF ACTION.

You agree to defend, indemnify, and hold harmless The Grey Network LLC and its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Services or violation of these Terms.

By using the Services, you consent to receive electronic communications from us. You agree that all agreements, notices, and disclosures provided electronically satisfy any legal requirement that such communications be in writing.
